Sole Proprietorship or LLC: Which to Choose for Business in Kyrgyzstan?
Whether you choose a sole proprietorship or an LLC isn't a question of which form is "better overall." The choice depends on the type of business you'll be doing, the obligations you're willing to accept, and the legal requirements for your chosen activity .
Before registering a business, we recommend completing three steps:
1. Determine the purpose and type of activity.
2. Assess whether you are prepared to cover the business's liabilities with your personal assets.
3. Then, choose the registration form and tax regime.
Let's look at each step.
1. First, decide what exactly you will be doing
First, it is necessary to determine the specific type of activity: trade, manufacturing, services, construction, transportation, IT, catering, financial activities, etc.
This is important not only when choosing between a sole proprietorship and an LLC. The type of business determines the eligibility for certain tax regimes, the tax rates, the need for a license or permit, and the legal form itself.
In some areas, IP is not enough
The legislation of the Kyrgyz Republic provides for types of activities that require the creation of a legal entity.
For example, requirements for establishing a legal entity are established for certain types of financial activities. Banking activities are carried out by commercial banks and other organizations that have the appropriate license or certificate from the National Bank. Microfinance organizations are also established under the legally established legal form of legal entity.
Similar requirements apply in the insurance sector: insurance activities are carried out by organizations with the appropriate license.
Therefore, if your chosen field requires a legal entity, the choice has essentially been made—you must register an LLC or another acceptable legal form.
These areas include, in particular, certain types of banking and microfinance activities, insurance, as well as certain types of activities involving excisable products, including legally regulated transactions involving alcoholic beverages.
The first question before registration should not be “Sole proprietor or LLC?”, but “Do I have the right to engage in this activity as an individual entrepreneur?”
2. Sole proprietor or LLC: who will be liable for obligations?
Once the activity has been defined, the financial and contractual risk must be assessed.
IP
An individual entrepreneur does not create a legal entity separate from himself.
A citizen is liable for their obligations with all of their property , except for property that cannot be legally seized. This rule is enshrined in Article 59 of the Civil Code of the Kyrgyz Republic.
In practice, this means that if an entrepreneur has assumed obligations to a supplier, contractor, landlord, or other counterparty and has failed to fulfill them, the issue of collection may affect the entrepreneur's own property.
Therefore, it is especially important to choose an individual entrepreneur consciously if the business involves:
- large purchases;
- significant loans or credits;
- expensive equipment;
- large contracts;
- significant fines and penalties;
- responsibility for the quality of products or services;
- other significant property risks.
LLC
An LLC is an independent legal entity. An LLC can engage in several activities simultaneously, for example, providing IT services while simultaneously manufacturing furniture.
As a general rule, LLC participants are not liable for the company’s obligations and bear the risk of losses within the limits of the value of their contributions.
This is one of the main practical advantages of an LLC.
However, the term "limited liability" does not mean that an LLC owner can never be held liable with their personal property. Liability of a participant or manager may arise in cases provided by law. Furthermore, a participant is obligated to fulfill their obligations to contribute their share to the authorized capital.
Therefore, an LLC is not a way to completely eliminate any personal risks. Its advantage lies elsewhere: the company's assets and liabilities are legally separate from those of its shareholders.
3. How many owners does the business have?
Here the choice is also quite simple.
Individual entrepreneurship is the entrepreneurial activity of an individual.
An LLC can be created by one or more individuals . Participants own shares in the company.
If a business is created by two or more partners and it is necessary to formally define the shares, management arrangements, profit distribution, and rules for a participant's exit from the business, an LLC is usually a more appropriate form.
An LLC is also more convenient for subsequent changes in the composition of participants: shares can be alienated in the manner established by law and the constituent documents.
How are individual entrepreneurs and LLCs registered?
Registration of individual entrepreneurs
The individual entrepreneur registers with the tax authority .
According to the state system of permits, an application for registration as an individual entrepreneur is submitted to the tax authority at the place of registration in accordance with passport data, place of residence, or place of business activity.
The Tax Code separately establishes that tax registration of an individual entrepreneur is carried out with the tax authority at the place of registration in accordance with the passport data of the individual entrepreneur, place of residence or place of business activity.
Thus, registration of an individual entrepreneur is directly linked to the individual and the tax authority.
Registration of LLC
An LLC is registered as a legal entity through the system of the Ministry of Justice of the Kyrgyz Republic .
The Ministry of Justice is using an electronic legal entity registration system. For Bishkek and the Chui region, LLC registration will be conducted exclusively online starting August 27, 2024.
The Ministry of Justice also publishes the procedure and list of documents for state registration of commercial organizations, including LLCs.
After state registration, a legal entity becomes an independent subject of legal relations.
What about taxes?
It is wrong to choose an individual entrepreneur or LLC only based on the tax rate.
The same type of activity may be taxed at different rates depending on the chosen tax regime, the nature of the activity and other conditions.
In Kyrgyzstan, general and special tax regimes apply.
For many entrepreneurs, the single tax—a simplified taxation system —is of greatest interest . Under this system, the tax is calculated according to the rules of the chapter on the single tax, and the rate depends on the type of activity.
Single tax
There is no single rate “for everyone”.
For example, for certain trading activities, the rate is 0.5% for revenues of up to 50 million soms over the past 12 months, subject to the conditions established by the Tax Code.
For other trading entities the following rates are provided:
4% for cash payments;
2% for non-cash payments.
Different rates apply for certain types of activities. For example, for certain manufacturing and other types of activities, rates also depend on the method of payment; special reduced rates are provided for certain categories.
For some individual entrepreneurs, legislation provides the possibility of applying a single tax rate of 0% while simultaneously meeting established conditions, including restrictions on revenue, the use of cash registers, the number of employees, and social security contributions.
Therefore, it is impossible to draw a simple conclusion:
"An individual entrepreneur pays less taxes than an LLC."
In some cases, the tax burden of individual entrepreneurs and LLCs engaged in similar activities may be comparable, while in others, they may differ significantly.
General tax regime
Under the general regime, the corresponding generally established taxes apply. In particular, the basic VAT rate is 12% , and the corporate income tax rate is 10% .
The specific composition of taxes depends on the activities and operations of the business.
Therefore, before registering, it is necessary to determine not only the form—sole proprietorship or LLC—but also which tax regime will apply specifically to your business .
What to choose in the end?
It makes sense to consider IP when:
you work independently;
the activity does not require the creation of a legal entity;
the business is not associated with significant property risks;
obligations to counterparties are relatively small;
you are interested in the simplest possible organizational model.
For example, for an independent specialist providing services to the public and not taking on large financial obligations, an individual entrepreneur can be a completely rational solution.
It makes sense to consider an LLC when:
the activity by law requires a legal entity;
you plan to engage in different activities;
large contracts and commitments are expected;
it is necessary to separate the company's property from the property of the participants;
it is planned to attract an investor or new participants;
the business involves significant financial or contractual risks;
The company plans to scale up.
Under such circumstances, an LLC usually provides a more suitable legal structure.

But it would be wrong to recommend the LLC to everyone.
If a person provides services independently, does not bear significant obligations, and their activities can legally be carried out as an individual entrepreneur, registering an LLC may add unnecessary corporate procedures and expenses.
Therefore, the right choice does not start with registration.
First, determine the purpose of your business and its type. Then, assess the potential liabilities and ask yourself: are you prepared to cover them with your personal assets? Then, choose between a sole proprietorship or an LLC and the appropriate tax regime.
