How to register an LLC in Kyrgyzstan: step-by-step guide

Step-by-step guide on how to register an LLC yourself, what documents to prepare, how much registration costs, and what to do afterward.

Register a limited liability company ( LLC ) in Kyrgyzstan independently, without the help of lawyers or intermediaries. To do this, you need to prepare information about the founders, director, and legal address, complete an application, and submit it through the Ministry of Justice's online system.

In this guide, we'll cover how to register an LLC yourself , what documents to prepare, how much registration costs, and what to do after it's completed .

Step 1: Identify the founders and management

Before submitting an application, it is necessary to decide who will own the company and who will manage its activities.

An LLC may be established by one or more founders. Founders may be individuals or legal entities, subject to restrictions established by law.

Determine in advance:

  • who will be the founder or founders;
  • what shares will belong to each participant;
  • who will become the director;
  • who will represent the company without a power of attorney.

If there are multiple founders, agree on the distribution of shares and the decision-making process before registration. Subsequent changes to the membership will require separate formalities.

Step 2: Choose a company name

An LLC must have a full name in both Kyrgyz and Russian. An abbreviated name may be provided if necessary.

For example:

  • Full name: Limited Liability Company "Alfa Trade".
  • Short name: Alfa Trade LLC .

Before submitting an application, check that the same name is not already registered to another company.

You can check information about registered legal entities through the Ministry of Justice's electronic system .

If the chosen name is already in use, prepare another option.

Step 3: Prepare your legal address

The legal address is the location of the company, which will be indicated during state registration.

To register, please prepare in advance:

  • full address: city, district, street, building and premises number;
  • a document confirming the right to use the premises;
  • the owner's consent to locate the company at this address, if required for your situation.

Don't just use the address for formal purposes. The company must be able to receive official correspondence and interact with government agencies there.

If you plan to use your home address, check in advance whether this is permitted in your situation and what documents will be required.

Step 4: Determine the type of activity

When registering, you must indicate the main type of activity of the company.

Decide in advance what the LLC will be engaged in : trade, production, construction, IT services, consulting, or another area.

If the company will be engaged in several types of activities, check which ones need to be indicated in the application and which ones require additional permits.

Important: State registration of an LLC does not in itself grant the right to engage in licensed activities. If a license or permit is required for your activity, it must be obtained separately in accordance with the established procedure.

Step 5. Prepare documents

To register yourself, please prepare the following package.

If the founder is an individual

Typically you will need:

  • founder's passport;
  • passport of the director, if another person is appointed as director;
  • information about the full and abbreviated name of the company;
  • legal address and supporting documents;
  • information about the main type of activity;
  • decision on the establishment of LLC ;
  • information on the size of the authorized capital and the shares of participants.

If the founder or director is a foreign citizen, additional documents and a notarized translation of the passport into Kyrgyz or Russian may be required.

If the founder is a legal entity

Additionally, prepare documents confirming the registration of the legal entity and the authority of the person who makes the decision to create a new LLC .

A foreign legal entity may require legalized or apostilled documents and translation, depending on the country of registration and applicable international regulations.

Before submitting, check the current list of documents in the Ministry of Justice system: requirements may vary depending on the composition of the founders and the registration method.

Step 6. Submit an application through the Ministry of Justice

Electronic registration is carried out through the official portal:

online.minjust.gov.kg

Procedure:

  1. Open the portal for electronic registration of legal entities.
  2. Log in through the Unified Identification System (UIS), if it is provided for your submission method.
  3. Select to submit an application for state registration of a legal entity.
  4. Fill in information about the company, founders and manager.
  5. Please indicate your legal address and main type of activity.
  6. Attach the required documents.
  7. Please check all data before sending.

Please check the spelling of your last name, passport information, company name, and address especially carefully. Errors may require you to correct your application or resubmit it.

Step 7. Pay the registration fee

The fee amount depends on the chosen registration period.

Resolution No. 470 of the Cabinet of Ministers of the Kyrgyz Republic dated August 23, 2022, provides for the following tariffs for state registration of a legal entity:

Registration deadlineAmount of the fee
Within the time period established by law507 soms
Within 1 business day1,200 soms
Within 6 hours2,500 soms
Within 3 hours3,200 soms

Thus, it is possible to register an LLC in one business day if your application is eligible for the expedited procedure and all requirements are met. There is an increased fee for expedited registration.

Before paying, check the current amount and available deadlines directly in the Ministry of Justice's online system or with the registration authority. Do not pay the fee using outdated details or unconfirmed instructions from third-party websites.

The amounts listed above refer to the registration fee. Additional costs may arise for notarization of documents, translation, registration of a legal address, or other necessary services.

Step 8. Wait for a decision and receive your documents

After submitting your application, track its status in the electronic system.

If the application is completed correctly and the documents meet the requirements, the registering authority makes a decision on state registration.

After registration, check the information received:

  • full and abbreviated name;
  • registration number;
  • INN;
  • OKPO code;
  • legal address;
  • information about the manager.

If you find an error, find out how to correct it. Don't put it off: incorrect information can create problems when opening a bank account, entering into contracts, and interacting with government agencies.

Step 9. What to do after registering an LLC

Obtaining registration documents is not the last step in starting a business.

After registration, you need to do the following.

1. Check the tax regime

Find out which tax regime will apply to your company.

If you plan to use a special tax regime, check the terms and conditions for its use and the deadlines for filing the relevant application.

Don't put this question off: the tax regime affects tax calculation, reporting, and the future operation of the company.

2. Open a bank account

For non-cash payments and work with counterparties, a company usually requires a current account.

The bank may request registration documents, information about the director, founders, beneficial owners and the proposed activities of the company.

The list of documents and the procedure for opening an account is established by a specific bank.

3. Check if a license is required

If the company's activities are subject to licensing, obtain a license or appropriate permit before commencing such activities.

4. Organize accounting and personnel records

If the company will have employees, prepare employment contracts and personnel documents.

Also, determine in advance who will maintain accounting records, submit tax reports, and monitor tax payment deadlines.

5. Prepare documents for working with counterparties

To start a business, you may need to enter into agreements with suppliers, clients, landlords, and other partners.

Don't use random templates without checking: the terms of the contract must correspond to the company's actual activities and distribute risks between the parties.

Common mistakes when registering an LLC

The name is incorrect. Please check it in the legal entities register before submitting.

The legal address is not confirmed. Make sure the premises are indeed suitable for the company's use and for receiving correspondence.

Errors in the founders' or director's information. Verify the information against their passports and power of attorney documents.

The tax regime is unclear. Check in advance what regimes are available to your company and what steps need to be taken to apply them.

The company is registered, but the necessary permits have not been obtained. If the activity is licensed, registering an LLC does not replace obtaining a license.

How long does self-registration take?

If the documents are prepared correctly, the application is filled out without errors, and the standard deadline is selected, registration takes the time established by law.

If necessary, you can use expedited registration - within one business day, 6 hours or 3 hours, if the corresponding option is available.

The actual time period may increase if you need to correct documents, obtain translations, notarizations, or additional permits.
